This OKX Financial Risk Disclosure is to be read in conjunction with the OKX Financial Terms of Service and the OKX Terms of Service (together, the "Terms"), and the OKX Risk & Compliance Disclosure.

OKX FINANCIAL IS NOT LICENSED, APPROVED OR REGULATED BY ANY REGULATORY AGENCY, INCLUDING BUT NOT LIMITED TO THE MONETARY AUTHORITY OF SINGAPORE ("MAS"), NOR ARE THE SERVICES PROVIDED BY OKX FINANCIAL, INCLUDING PAYMENT TOKEN DERIVATIVES ("PTDs") AND STRUCTURED PRODUCTS, REGULATED BY ANY SUCH REGULATORY AUTHORITY IN SINGAPORE OR OTHER JURISDICTION.

Unless otherwise defined herein, all capitalised terms used shall have the same meanings ascribed to them in the Terms. Please review the Terms and this OKX Financial Risk Disclosure carefully, as we want you to understand the important risks and compliance matters associated with using OKX Financial's services on the OKX Platform.
1. Purpose of our Program
The purpose of this OKX Financial Risk Disclosure is to explain some of the risks associated with the use of the OKX Platform and other Services offered by OKX Financial, pursuant to the Terms. This information is not exhaustive and does not cover all the risks (or other important factors) you should consider before using the Services, entering into Contracts, or accessing the OKX Platform.
You must make your own independent decision to access or use the Services in light of your experience, objectives, financial resources, particular needs, risk appetite, and other relevant investors. You should seek any necessary advice from your independent financial, tax, and/or legal advisers before using the Services or entering into any Contracts or transactions.
You should not interpret this OKX Financial Risk Disclosure or any other statements or information (written or oral) relating to the OKX Platform or Services offered by OKX Financial as legal, tax, or financial advice.
Please be aware that the risk of suffering substantial losses when trading on the OKX Platform or holding Contracts can be significant. You must carefully consider whether trading on the OKX Platform or holding Contracts is suitable for you, taking into account your financial condition, objectives, level of experience, and risk appetite.
Under no circumstances shall any of the Indemnified Persons be responsible or liable to you or any other person or entity for any and all Losses arising from your use or reliance of any information set out in this OKX Financial Risk Disclosure.
By accessing the OKX Platform or otherwise using the Services, you confirm that you have read, understood, and acknowledged this OKX Financial Risk Disclosure.
2. Regulatory Risk
PTDs are derivative contracts referencing Digital Assets as their underlying assets. PTDs are not regulated by MAS or any other regulatory authority within Singapore. The PTDs, Services, and Contracts offered by OKX Financial on the OKX Platform are not regulated in any jurisdiction where they are made available. By transacting in PTDs and our structured products, you will not have the benefit of any regulatory safeguards and you do so at your own risk.
The regulatory environment for Digital Assets and PTDs is unsettled and rapidly evolving. Existing Applicable Laws and Regulations are often largely untested, leading to uncertainty in their application and interpretation. New laws and regulations may be enacted in the future that could adversely affect Digital Assets, the Services, and Contracts, and OKX Financial’s ability to offer them. It is impossible to predict how such changes might affect the availability, price, and liquidity of PTDs, Digital Assets generally, or the Services and Contracts.
Regulatory actions and developments could negatively impact Digital Assets and related services. For example, a regulator might determine (with retrospective or prospective effect) that Digital Assets and PTDs are regulated financial instruments requiring providers to be licensed or registered.
Based on regulatory developments (e.g., the characterisation of the underlying Digital Asset) or your jurisdiction, residency, or investor status, OKX Financial may, at its sole discretion, have to restrict or disallow your access to certain Services or transactions if they become commercially unsustainable or legally prohibited. Any such action could materially impact the availability, price, and liquidity of the Services and the Contracts.
You bear the sole responsibility for ensuring you comply with all applicable regulations before using our Services. We explicitly state that we do not permit the use of our Services by users from any jurisdiction where such use is prohibited, and you must not proceed if this applies to you.
3. General Trading and Financial Risks
PTDs and structured products are complex instruments and may not be suitable for all investors. You should enter into such Contracts at your own risk and only after conducting your own research and fully understanding their function, terms, and conditions. With leveraged PTDs, even a small price fluctuation in the underlying index can lead to the loss of part or all of your investment or capital.
Digital Asset Risk
Investments in Digital Assets are highly volatile and carry a high degree of risk. You must be aware that investing in Digital Assets means you could lose your entire investment or capital.
A Contract may be taken off the OKX Platform, or the OKX Platform may cease to support its trading for any reason without prior notice. In such cases, any related Order you have placed may be cancelled at the sole and absolute discretion of OKX Financial.
OKX Financial does not own or control the underlying protocol or technology that governs Digital Assets. This technology is subject to change or failure due to modifications, attacks, or events like a "fork," a "rollback," an "airdrop," or a "bootstrap." Any such event or underlying protocol failure can impact the value of a Contract, your Digital Asset(s), and/or your positions, potentially resulting in a total loss. OKX Financial is not responsible for any such changes and is not liable for any resulting loss you may incur. You are responsible for monitoring these changes, and OKX Financial is not obliged to notify you, though it may choose to do so.
OKX Financial has the sole and absolute discretion not to support any such change and may cease to support any Contract or Digital Asset on the OKX Platform in response.
You acknowledge the risk that forks and/or airdrops may have a potential adverse effect on the value and operation of the Digital Assets you participate in, and OKX Financial is not responsible for this outcome.
Trading Risk
Contracts traded on the OKX Platform are PTDs or otherwise known as derivative contracts. PTD transactions, including options, options on futures, futures, and perpetuals, are complex and not suitable for all investors. These products have features and risks that may not be easily understood due to their complex structure, novelty, and reliance on technology.
You must possess sufficient relevant experience in derivatives trading and Digital Assets and must thoroughly read and understand the terms of the Contract (including the Terms) before entering into any Contract on the OKX Platform. Your decision to enter into any Contract is solely yours and undertaken at your own risk. You should seek independent advice if necessary.
OKX Financial does not guarantee the principal amount invested or its value at any time for any PTD. There is no guarantee that using the Services will result in a profit, that significant losses will not be incurred, or that your objectives will be met. PTDs based on Digital Assets may exhibit sudden and significant price volatility.
All Contracts traded on the OKX Platform are margined and settled using Digital Assets. You may lose a substantial proportion or all of the Digital Assets you use to fund your Account. Review the description of the liquidation process in the Terms carefully.
You should only fund your Account and trade with Digital Assets that you own and can afford to lose. Carefully consider whether you can bear the risk of loss involved in using these Services and, particularly, entering into such Contracts.
All trading conducted on your Account is at your own risk. Except as required by law, OKX Financial and its affiliates do not guarantee and accept no liability for any direct or indirect losses, costs, liabilities, expenses, or damages incurred from your use of the OKX Platform or your failure to understand the risks involved in Digital Asset markets generally or your use of our Services.
Leveraged Risk
PTDs, such as options, options on futures, futures, and perpetuals, are leveraged products. Leverage allows you to trade with relatively modest margins compared to the position size. This means a slight index price fluctuation can result in substantial gains if the market moves in your favour, but also the loss of the allocated margin if it moves against you. You could potentially lose all the assets you have deposited in your Account.
Under certain market conditions, especially given the high volatility and significant risk of illiquidity in Digital Asset derivatives markets, you may find it difficult or impossible to close a Contract or position above the liquidation price. For example, if market liquidity is insufficient or there are technical issues with your Order placement, you may be unable to manage your position risk. Leverage can amplify both gains and losses.
You also understand that your position can be liquidated or closed, and other actions taken by OKX Financial, without your consent and regardless of whether you agree with our decision. You must carefully consider whether such an arrangement suits your financial position and investment objectives.
We reserve the right to reject any request that would increase your aggregate risk beyond the risk limit set by you or by us.
OKX Financial makes no assessment of the appropriateness of the risk limit (whether set by you or by us) for your specific circumstances. You must make your own independent assessment of the appropriate level of risk for yourself.
You must ensure you have sufficient time to actively manage your Orders and positions at all times. OKX Financial is not responsible for monitoring any Orders, positions, or any other aspect of your Account.
Index Price Risk
The Services and Contracts on the OKX Platform may rely on an index price (e.g., to calculate the mark price). OKX Financial uses information provided by third-party exchanges to determine each index. Price and volume movements on these exchanges, as well as any index calculation failures, may affect the profit, loss, margin, and settlement of Contracts traded on the OKX Platform.
Entering into a Contract based on Digital Asset(s) is not the same as purchasing or selling that Digital Asset(s) or any of the components of its index. The return on your positions may not reflect what you would realise if you owned (or sold short) the underlying Digital Asset.
The methodology for calculating and publishing each Index may cause it to deviate substantially from other publicly reported prices of the underlying Digital Asset. The composition, calculation, and safeguards of any Index are subject to change at any time without notice at OKX Financial's sole and absolute discretion.
Indices may be determined and/or calculated by OKX Financial or a third-party service provider. The components or the calculation methodology of the Indices may be changed at any time. A modification to the components could affect the Index's value, as a new component may perform better or worse than the one it replaces. Any change in the methodology may also affect the Index value and could result in you incurring losses or gains. OKX Financial is not responsible for any direct, indirect, or consequential losses you may incur due to a change in the Index methodology.
OKX Financial may also alter, discontinue, or suspend publication of an Index at any time and may take action regarding the Indices without regard to the interests of any User.
Additionally, since Digital Asset derivatives (including the Contracts) are relatively new products, the degree to which they will provide reliable exposure to movements in the price of the underlying asset(s) of the relevant Index is uncertain.
Accuracy of information
OKX Financial publishes certain information about Contracts, Digital Assets, and other data on the OKX Platform for general information purposes only. This information does not constitute investment advice or a recommendation. OKX Financial makes no representations or warranties that this information will be available, accurate, reliable, complete, or up-to-date. Accordingly, OKX Financial is not responsible for any loss arising from any Contract based on any recommendation, forecast, or other information provided. The analyses and comments presented do not consider your personal investment objectives, financial circumstances, or needs.
No Early Termination
Certain products offered by OKX Financial cannot be terminated prior to the relevant expiry date. There may be no secondary trading market for such products. Consequently, you may be required to hold the Contract until expiry.
4. Dealing with Authorised Persons
You agree that OKX Financial is entitled to deal with any individual you have duly authorised to act on your behalf regarding all dealings, instructions, and communications. You must provide written proof of such authorisation, including the full name, contact details, and scope of authority of the authorised person. OKX Financial may rely on this authorisation until it receives written notice from you of any revocation or amendment. You acknowledge that OKX Financial is not responsible for verifying the authenticity or validity of any instruction or communication received from an authorised person unless you have provided notice of revocation or amendment.
5. Conflicts of Interest
OKX Financial maintains policies and procedures to identify, manage, and mitigate potential conflicts of interest. Be aware that certain affiliates within the OKX Group may conduct proprietary trading for their own accounts. This activity may give rise to potential conflicts with client interests.
To address these risks, the OKX Group has implemented controls including, but not limited to, self-trade prevention mechanisms, physical and functional segregation of trading activities, role-based access controls to manage information flows, and ongoing trade monitoring and surveillance.
