IM Terms and Conditions - Singapore

(a) General. Through your use of the Services, you may have access to communication tools, including an instant chat function ("OKX Chat"), that allow you and other users to submit, post, or transmit data, text, images, or other materials (collectively, “User Content”). You understand that OKX does not control User Content and does not authorize, approve, pre-screen, verify, or endorse the completeness, legitimacy, legality, accuracy or reliability of any User Content. OKX expressly disclaims any liability arising from or related to such User Content. Your use of OKX Chat, and of any User Content, is at your own risk.

(b) Reservation of Rights. OKX reserves the right, in its sole and absolute discretion, to remove, suspend, or restrict your use of OKX Chat and/or any User Content. OKX reserves the right to report any User Content that it believes, in good faith, to be illegal, harmful, or otherwise in violation of applicable laws to the appropriate law enforcement authorities, regulatory agencies, or any other relevant authorities or parties. Without limiting the foregoing, OKX reserves the right to comply with any direction, order, code of practice, or notice issued by any governmental or regulatory authority under applicable law, including but not limited to any direction issued under the Protection from Online Falsehoods and Manipulation Act 2019 of Singapore (“POFMA”), and to take such actions as may be required pursuant thereto, including issuing correction notices within OKX Chat, disabling access to, or removing any User Content.

(c) Grant of Usage Rights. By submitting User Content to the OKX platform, you grant OKX, its parent companies, affiliates, and service providers a perpetual, worldwide, non-exclusive, irrevocable, royalty-free, and fully paid-up right to host, store, use, display, reproduce, modify, and distribute such User Content for the operation, and improvement of our Services and of OKX Chat.

(d) User Compliance and Warranties. You represent and warrant that you possess all necessary intellectual property rights to any User Content you share. You agree that your User Content will not: (i) be defamatory, obscene, or unlawful; (ii) infringe upon the patents, trademarks, or copyrights of any third party; or (iii) contain software viruses or malicious code. You are solely liable for any damage resulting from any infringement of copyrights or any other harm resulting from your submission of User Content. OKX reserves the right to terminate access to OKX Chat or to our Services for users who repeatedly infringe upon the rights of others. You agree to indemnify and hold OKX harmless from and against any and all claims, liabilities, or expenses arising out of or related to your User Content. In addition to the foregoing, you agree that you will not use OKX Chat to: (iv) make, publish, or disseminate any false or misleading statement of fact regarding any digital asset, token, protocol, or related project; (v) engage in, coordinate, or facilitate market manipulation of any kind, including but not limited to pump-and-dump schemes, wash trading, spoofing, or the coordinated dissemination of misleading information designed to influence the price of any digital asset; (vi) provide financial advice, investment recommendations, or solicitations to buy, sell, or trade any digital asset, unless you are duly licensed or authorised to do so under all applicable laws and regulations, including the Securities and Futures Act 2001 of Singapore and the Financial Advisers Act 2001 of Singapore; or (vii) engage in any conduct that would violate the OKX Terms of Service, Payment Services Act 2019 of Singapore ("PS Act"), the Securities and Futures Act 2001 of Singapore ("SFA"), or any other applicable law or regulation.

(e) No Investment Advice. You may have access to a function within OKX Chat allowing you to communicate with representatives of OKX. To the extent you have access to this function, you understand and agree that OKX does not provide investment advice or make any recommendation to buy or sell a particular asset or to employ any particular investment strategy.
For the avoidance of doubt, any opinions, views, recommendations, or statements expressed by other users through OKX Chat do not represent the views of OKX and shall not be construed as advice or recommendations endorsed by OKX. You acknowledge that OKX does not verify or assume any responsibility for the accuracy, completeness, or reliability of any information or recommendation provided by any user through OKX Chat, and you should not rely on any User Content as a basis for any investment, financial, or trading decision.

(f) Personal Data Protection. In connection with your use of OKX Chat, OKX may collect, use, and disclose personal data including but not limited to your user identifier, message content, message metadata, device information, and usage data (collectively, “Chat Data”). Chat Data will be collected, used, and disclosed for the following purposes: (i) operating, maintaining, and improving OKX Chat and the Services; (ii) content moderation and enforcement of these terms; (iii) compliance with applicable laws and regulations, including responding to lawful requests from law enforcement, regulatory, or governmental authorities; and (iv) such other purposes as may be set out in OKX’s Privacy Policy. Your Chat Data may be transferred to, stored, and processed in jurisdictions outside of Singapore. Where such transfers occur, OKX will take reasonable steps to ensure that your personal data receives a standard of protection comparable to that required under the Personal Data Protection Act 2012 of Singapore (“PDPA”). OKX will retain Chat Data for such period as is necessary for the purposes set out above or as required by applicable law. You may exercise your rights under the PDPA, including rights of access and correction, by contacting OKX in accordance with its Privacy Policy. (g) Compliance with Singapore Law. You acknowledge and agree that your use of OKX Chat is subject to all applicable laws and regulations of Singapore, including but not limited to the POFMA, the SFA, the PS Act, the Financial Advisers Act 2001, and the PDPA. In the event that OKX receives any direction, order, or notice from any Singapore governmental or regulatory authority (including but not limited to the Monetary Authority of Singapore, the Infocomm Media Development Authority, or the Personal Data Protection Commission) in respect of any User Content or your use of OKX Chat, you agree to cooperate fully with OKX in complying with such direction, order, or notice. OKX shall not be liable to you for any action taken in good faith to comply with any such direction, order, or notice, including the removal, restriction, or correction of any User Content.
